Space Share Services Agreement

Space Share is a marketplace that offers several services to its users. There are three types of users: (1) Guests, who book Spaces; (2) Hosts, who offer Spaces and related Host Services; and (3) Vendors, who offer supplemental products or services to Guests for an event or stay. Space Share connects them through the Platform — the online marketplace where users connect, communicate, and transact through Bookings.

Space Share is not an owner or operator of properties. Our responsibility is limited to facilitating availability of Services through the Platform. The Services are intended solely to facilitate connections among Hosts, Guests, and Vendors. Space Share has no responsibility or liability for the content of Listings or the condition, legality, safety, or suitability of any Booking or Space. Bookings are made at a user's own risk.

Host Services. Hosts may use our Platform to offer a Space and related services to a Guest for a specific time and purpose. The details of each Space — its availability, price, fees, rules, and other terms — are provided in a Listing.

Vendor Services. Vendors may offer products or services to supplement a Guest's booking (catering, equipment rental, etc.). Vendors are solely responsible for their services.

AI Concierge services. Space Share may help Guests coordinate Bookings of Vendor Services, scout Spaces, or assist with planning. See AI Concierge.

Eligibility. You must be at least the legal age of majority in your jurisdiction and able to enter into legally binding contracts. By using the Platform you represent that you meet these requirements and will comply with applicable laws, including export-control laws and the rules associated with each Booking.

Third-party services. The Platform is made available in connection with third-party services that Space Share does not control. We do not endorse any such services and are not responsible for them.

Communications with Space Share. You agree we may contact you by phone, SMS, in-app messages, or email at the methods you provide. Standard message rates may apply. You can opt out of marketing communications at any time; some account-related messages are required to fulfil contractual obligations.

Communications with other users. The Platform lets you message other users without sharing personal contact details. Don't use it to harass, spam, or circumvent Space Share's fees. See our community standards in Trust & safety.

Compliance with the law. You will comply with all laws that apply to your use of a Space, Host Services, the Platform, Vendor Services, and AI Concierge services. We are not authorised to provide legal advice.

You may need to register an Account to access certain features. You agree to provide accurate information, keep it current, and safeguard your credentials. You are responsible for everything that happens under your Account. Notify us immediately of any unauthorised use.

We may verify your identity, screen against public and private databases, or request additional information to prevent fraud and maintain a safe community. We may suspend or terminate accounts that violate this Agreement or applicable laws.

Hosts set their own prices. Space Share charges service fees to Guests and Hosts to operate the Platform. Specific fees, taxes, and any local levies are shown before a Booking is confirmed. By confirming a Booking, you agree to pay all applicable amounts.

Appointment as limited collection agent. You appoint Space Share as your limited collection agent solely for the purpose of accepting payments from Guests and remitting them to Hosts and Vendors per this Agreement and the applicable cancellation policy. Payment to Space Share satisfies a Guest's payment obligation to the Host or Vendor.

Hosts and Vendors are responsible for determining and collecting any applicable taxes (including VAT, GST, and lodging or occupancy taxes) on the goods or services they provide, except where Space Share is legally required to collect and remit on their behalf.

You may close your Account at any time. We may suspend or terminate your Account or access to the Platform — with or without notice — if you breach this Agreement, if required by law, or to protect users, third parties, or Space Share. Sections that by their nature should survive termination (including payment obligations, indemnities, and dispute resolution) will continue to apply.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for the purposes described in this Agreement. You may not copy, reverse-engineer, scrape, or build derivative works from the Platform; use it to develop a competing product; bypass technical limits or rate-limits; or use automated means to access it except for permitted public APIs.

You retain ownership of content you submit (photos, descriptions, reviews, messages, and similar — “User Content”). You grant Space Share a worldwide, royalty-free, sub-licensable licence to host, store, reproduce, modify, publish, translate, and display User Content for operating, promoting, and improving the Platform and Services. You represent that you have all rights necessary to grant this licence and that your User Content does not infringe any third party rights or violate any law.

We may remove or restrict User Content that breaches this Agreement or our community standards, and may cooperate with law enforcement when required.

Reviews must be based on a genuine, completed Booking and reflect your honest experience. We may remove reviews that violate our policies, contain personal data, or constitute extortion or retaliation.

Our handling of personal data is described in our Privacy Policy, which forms part of this Agreement.

The Platform, including its software, design, trademarks, and content (other than User Content), is owned by Space Share or its licensors and is protected by intellectual property laws. No rights are granted except those expressly stated in this Agreement.

Hosts are independent contractors, not employees or agents of Space Share. As a Host you are responsible for:

• The accuracy and completeness of your Listing — photos, amenities, rules, capacity, and availability.
• Holding all required licences, permits, insurance, and the legal right to list the Space.
• Setting prices, house rules, and a cancellation policy (Flexible, Moderate, or Strict).
• Maintaining a safe, clean Space that complies with local regulations and Space Share's safety standards.
• Honouring confirmed Bookings except where cancellation is unavoidable; repeated cancellations may result in account action.
• Tax obligations on the income earned through your Listings.

Space Share may, but is not required to, provide tools (calendars, payouts, messaging, deposits, and dispute workflows) to support Hosts. The availability of these tools may change.

As a Guest you agree to:

• Provide accurate information about yourself and your planned use of the Space.
• Use the Space only for the purpose and within the times agreed in the Booking, and follow the Host's house rules.
• Treat the Space, the Host, and other users with respect and care; you are liable for damage caused by you or your invitees.
• Pay all fees and applicable taxes shown at the time of Booking.
• Not use the Space for sleeping or overnight accommodation, unless the Listing is expressly a stay/vacation listing.
• Comply with the Host's policy on guest count, noise, and any restricted activities.

Using AI Concierge services. When you use AI Concierge services, Space Share may act as your limited agent solely to arrange Bookings of Vendor Services on your behalf, subject to the fees disclosed at the time.

Each Listing has a cancellation policy chosen by the Host. Refunds follow that policy, as described on the cancellation options page. Space Share may grant exceptions for extenuating circumstances. We may also cancel a Booking and refund the Guest if we reasonably believe doing so is necessary to prevent fraud, ensure safety, or comply with the law.

Guests are responsible for damage they or their invitees cause to a Space. If a dispute arises, the affected party should contact the other through the Platform within 72 hours of check-out. Space Share may, at its discretion, mediate through the resolution workflow, but is not a party to the underlying contract between users.

Before starting an arbitration, you agree to attempt to resolve the dispute informally by contacting us at legal@spaceshare.example. If we cannot resolve it within 60 days, either party may proceed to arbitration.

Arbitration will be administered by a recognised arbitration body in the jurisdiction where the Space at issue is located (or, if no Space is at issue, where you reside), under its consumer rules. The arbitrator's decision is final and binding. Each party pays its own costs unless the rules provide otherwise.

You and Space Share agree that any proceeding will be conducted only on an individual basis, not as a class, consolidated, or representative action.

Either party may seek injunctive relief in court to protect intellectual property or account security, and either may bring qualifying claims in small-claims court. Where mandatory consumer-protection laws give you stronger rights, those rights prevail.

The Platform and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Space Share does not warrant that any Listing, Space, or Vendor Service will meet your expectations, or that the Platform will be uninterrupted or error-free.

To the maximum extent permitted by law, Space Share's aggregate liability arising out of or relating to this Agreement or the Services will not exceed the greater of (a) the fees Space Share earned from you in the 12 months before the event giving rise to the claim, or (b) US$100. Space Share is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

You agree to indemnify and hold harmless Space Share, its affiliates, and their respective officers, directors, employees, and agents from any claim, liability, or expense (including reasonable legal fees) arising out of your use of the Platform, your User Content, your Bookings, or your breach of this Agreement or applicable law.

We may update this Agreement from time to time. Material changes will be communicated through the Platform or by email at least 30 days before they take effect, unless the change is required by law or addresses a security risk. Your continued use of the Platform after the effective date is your acceptance of the updated Agreement.

If you access the Platform from outside the United States, you are responsible for compliance with local laws. Specific country-level terms may apply where required by local consumer-protection or data-protection laws; those terms prevail over conflicting provisions here to the extent required.

This Agreement is the entire agreement between you and Space Share regarding the Platform. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver. You may not assign this Agreement; we may assign it to an affiliate or in connection with a corporate transaction.
